Terms of Service

1. Agreement to Terms

These Terms of Service (“Terms”) govern your access to and use of the Quota(“Quota”) platform, website, and related services (collectively, the “Services”). By creating an account, using the Services, or authorizing others to use the Services on your behalf, you agree to these Terms. If you do not agree, you must not use the Services.

2. Description of Services

Quota provides a mobile-first field sales operating system for home-services companies, including tools for pipeline management, appointment scheduling, customer communication, commission tracking, and white-label customer portals. Features and availability may vary by plan and industry.

3. Accounts and Eligibility

You must be at least 18 years old and have the authority to bind the business you represent. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must promptly notify us of any unauthorized use or security breach.

Company administrators may create accounts for their employees, contractors, and customers. You are responsible for ensuring that all users authorized by you comply with these Terms.

4. Customer Data

You retain ownership of all data you submit, upload, or sync to the Services, including customer information, sales records, commission data, and other content (collectively, “Customer Data”). You grant Quota a limited license to use Customer Data solely to provide, maintain, and improve the Services.

You represent and warrant that you have obtained all necessary rights, consents, and authorizations to submit Customer Data to the Services and to allow us to process it as described in these Terms and our Privacy Policy.

5. Acceptable Use

You agree not to use the Services to:

  • Violate any applicable law or regulation.
  • Infringe intellectual property or other third-party rights.
  • Transmit malware, spam, or malicious code.
  • Attempt to gain unauthorized access to the Services or other users' accounts.
  • Harass, abuse, or discriminate against any person.
  • Process sensitive personal data beyond what is reasonably necessary for field sales operations.

6. Fees and Payment

Certain features require payment of fees. Fees are based on the plan selected and the number of active users or other metrics stated at signup. All fees are non-refundable except as required by law or as expressly stated in a separate agreement.

We may change our fees by providing notice at least 30 days before the change takes effect. If you do not agree to a fee change, you may cancel your subscription before the change takes effect.

7. Intellectual Property

Quota owns all rights, title, and interest in the Services, including software, designs, trademarks, logos, and documentation. These Terms do not grant you any rights to use our intellectual property except as necessary to use the Services in accordance with these Terms.

Your use of white-label branding features is permitted only for your own company's identity. You may not use Quota's trademarks or trade dress without our prior written consent.

8. Confidentiality and Security

We will maintain reasonable administrative, physical, and technical safeguards to protect Customer Data. You are responsible for configuring your account settings and permissions appropriately and for ensuring that your users understand their obligations regarding confidential information.

9. Termination

You may cancel your account at any time. We may suspend or terminate your access to the Services if you violate these Terms, fail to pay fees, or if required by law.

Upon termination, your access to the Services will end. We will retain or delete Customer Data in accordance with our Privacy Policy and any applicable legal obligations. Provisions that by their nature should survive termination will survive.

10. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OR ERROR-FREE OPERATION. WE DO NOT WARRANT THAT THE SERVICES WILL MEET YOUR REQUIREMENTS OR THAT ALL ERRORS WILL BE CORRECTED.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, QUOTA AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR $100, WHICHEVER IS GREATER.

12. Indemnification

You agree to indemnify and hold harmless Quota and its affiliates, officers, employees, and agents from any claims, damages, losses, liabilities, costs, or expenses arising out of your use of the Services, your Customer Data, or your violation of these Terms.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Illinois, without regard to its conflict of laws principles. Any dispute arising from these Terms will be resolved in the state or federal courts located in Cook County, Illinois. Both parties consent to the personal jurisdiction of those courts.

14. Changes to These Terms

We may modify these Terms from time to time. Material changes will be posted on our website with an updated effective date. Continued use of the Services after the changes constitutes acceptance of the revised Terms.
